Terms of Service

The Restaurant is operated by Nina Hospitality Company Limited (hereinafter, "NH", "we", "our" or "us"). These Terms of Service apply to the websites, applications, systems, social media accounts, and other services (collectively, the "Services") made available by us. YOUR ACCESS AND USE OF THE SERVICES IS SUBJECT TO THE FOLLOWING TERMS OF SERVICE AND ALL APPLICABLE LAWS. BY ACCESSING OR USING ANY PART OF THE SERVICES, YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH ALL OF THE TERMS AND CONDITIONS SET FORTH BELOW, YOU MAY NOT USE ANY PORTION OF THE SERVICES.

 

THESE TERMS AND CONDITIONS AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

Eligibility: You represent and warrant that you are at least 18 years of age. If you are under the age of 18, you may not use the Services. We may, in our sole discretion, refuse to offer the Services to any person or entity and change the eligibility criteria for the Services at any time. We reserve the right to terminate accounts for users who have been previously suspended or removed from the Services, or to terminate accounts for users who do violate these Terms of Service. You are solely responsible for ensuring that these Terms of Service are in compliance with all laws, rules and regulations applicable to you, and the right to access the Services is revoked where these Terms of Service is prohibited or to the extent offering, sale or provision of the Services conflicts with any applicable law, rule or regulation.

 

Reservation Service: NH and OptiTable Technology Limited (hereinafter, "OptiTable") make available restaurant reservation services (the “Reservation Services”) through the Online Reservation Sites to User for the purpose of assisting User in securing dining reservations at participating restaurants managed by NH and restaurants at Dining Ground, Central Market (each, a “Restaurant”). In response to a User’s online request for a Restaurant reservation through the Online Reservation Sites, OptiTable contacts the Restaurant’s computerized database of reservations. The availability of reservations is determined at the time of User’s query and based on information provided by the User to the restaurant. Once a reservation is made by User through the Online Reservation Sites, OptiTable will provide confirmation of the reservation to User by email or other electronic messages as has been agreed to by User. By using the Reservation Services, User agrees to receive reservation confirmations, updates, modifications and/or cancellations by email or other electronic messages.

 

Payment Method: Our restaurants may require you to provide your payment information ahead of time, including where (i) the Restaurant requires deposit and prepayment of bills; (ii) the Restaurant charges a cancellation fee; or (iii) the Restaurant otherwise requires a credit card on file in order to place a reservation. These requirements will be specified on the reservation page for that Restaurant. When you make a reservation with a Restaurant that requires payment information ahead of time, we will ask you to provide us with information for a credit card, including the credit card number, expiration date and security code. We use a third-party payment processor, Adyen (the “Payment Processor”), to bill you when your use of the Services results in charges to your credit card. The processing of payments will be subject to the terms & conditions and privacy policies of the Payment Processor in addition to this Agreement. We are not responsible for errors made by the Payment Processor. By making a Reservation, you agree to pay, through the Payment Processor, any applicable fees in accordance with the applicable payment terms and you authorize us, through the Payment Processor, to charge your chosen payment provider (your “Payment Method”). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that the Payment Processor makes even if it has already requested or received payment. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method. If we, through the Payment Processor, do not receive payment from you, you agree to pay all amounts due upon demand.

 

Refund and Cancellation Policy: “No shows” or late cancellations will also result in cancellation fees being charged by the Restaurant. All prepayment and deposit are non-refundable. Unless otherwise stated, we reserve the right to cancel your Reservation if you do not check in after your Reservation time. A cancellation by Restaurant in such a manner, as well as a complete failure to show up for your Reservation, will be considered a “no show”.

 

Indemnification: You agree to indemnify, defend and hold harmless us, our employees, directors, officers, agents, business partners, affiliates, contractors, distribution partners and representatives from and against any and all claims, demands, liabilities, costs or expenses, including legal fees and costs, arising from, or related to (i) your use of the Services, (ii) any breach by you of any of these Terms of service, and (iii) any violation of applicable law.

 

Third Parties: When you use the Services, OptiTable’s role is to provide the platform to help connect users with Restaurants. You acknowledge that we are not responsible for these third-party products and services, and makes no representations, warranties, or guarantees with respect to them.

 

Changes of Terms: We may amend these Terms of Service from time to time at our sole discretion without notice or liability to you. By continuing to use the Online Reservation Sites and purchase our services or products following such amendments to the Terms of Services, you agree to be bound by such amendments.

 

Governing Law: These Terms of Service are governed by and interpreted in accordance with the laws of Hong Kong and the courts of Hong Kong shall have jurisdiction over disputes over these Terms of Service.

 

English Version Prevails: If there is any inconsistency or ambiguity between the English and Chinese versions of these Terms of Service, the English version shall prevail.
